Hypertension Diagnostics’ Class A Warrants Declared Effective by SEC ST. PAUL, MN – August 3, 2000 – Hypertension Diagnostics, Inc. (Nasdaq SmallCap: HDII; HDIIW; HDIIU) today announced that a post-effective amendment to the 1998 initial public offering registration statement registering its Class A Redeemable Warrants has been declared effective by the SEC on August 1, 2000. Pursuant to the terms of the Class A Redeemable Warrants, they may be redeemed by the Company for $.01 per share when the closing bid price of the Company’s common stock exceeds $6.50 per share for 14 consecutive trading days. The Company must provide 30 days prior written notice of such redemption and such written notice must be sent within 10 days of any such 14 consecutive trading day period. The exercise price of the Class A Redeemable Warrants is $5.50 per share. As of August 2, 2000, the Class A Redeemable Warrants are subject to redemption at the election of the Company. The Company has no present intention of exercising its rights to such redemption in the immediate future. |
